I sometimes have to submit resolutions for certain private purchases. I'm away from my files, but it was always just a few lines--- "On mm/dd/yyyy, at a meeting of Biz A LLC, it was resolved that the purchase of Address be approved, and funds of $y be made available..." etc, etc, etc.

Apart from that, I've never had to do minutes or resolutions for anything, but TX may be different than IL.

Good questions. Without keeping up the requirements of your State, and LLC protections can be pierced by any good attorney wishing to sue you. This is why I prefer higher insurance over an LLC that requires exact record keeping. --47.156.xxx.xxx

If you have an LLC you have to operate it like a business which requires at a minimum annual minutes. Grab one of those NOLO books on LLCs.

I write out annual minutes each year and I get them notorized as proof they were done in the year stated on the paper.

You can find samples of annual minutes on the internet or in the NOLO book

ANNUAL MEETING OF THE MEMBERS/MANAGERS

OF

BeeBop, LLC

The undersigned, being the members/managers of BeeBop, LLC, a North Carolina limited liability company (the “Limited Liability Company”), hereby take the following actions and adopt the following at the annual meeting of the Members/Manager:

RESOLVED, upon review of the financial expenses of the company, they have been appropriate and to continue to use Pencil Pusher, CPA as the accountant of record for the company.

RESOLVED, upon review of the legal requirements of the company, the members approve the continued use of Dewey Cheapem & Howe, the attorneys of record for the company.

RESOLVED, that after payment of all operating expenses of the Company for its 2019 fiscal year, payment of all outstanding and unpaid current obligations of the Company for its 2019 fiscal year; and after establishing reserves reasonably necessary or appropriate for Company operations, including, without limitation, improvements and repairs to the real property owned by the Company, the managers have determined the distribution to the members during its 2019 fiscal year pursuant to Article IV of the Operating Agreement is approved.

RESOLVED, that the members approve Donald Duck’s continuing to serve as manager of the Company in accordance with the Operating Agreement of the Company.

RESOLVED, that all acts and deeds of the managers of the Company heretofore performed on behalf of the Company are hereby ratified, approved, affirmed, and declared binding upon the Company, including, without limitation any actions taken in furtherance of the additional acquisition of land contemplated by the Company including these specific actions:

Purchase of 123 Main St property 1/25/2019

Purchase of 456 South Stproperty 7/31/2019

RESOLVED, that in furtherance of the Companies goals it will:

Continue to seek value related properties through foreclosures

Accrue reserves for the purchase of value properties

Seek funding to aid in asset acquisition including reaching out to relatives

Seek to minimize expenses while increasing property values

We hereby consent that the actions set forth in the foregoing resolutions shall be effective as of the date hereof, and direct that this document be filed in the minutes of BeeBop, LLC

Don't know what good a notary does, but if you need proof, send a copy of each minutes to your lawyer. We used to do that until I found out they didn't know where they were kept, but at least I have a witness. --108.69.xxx.xxx
